Jon E. Field is Co-Leader of the firm's Corporate Team with a focus on securities and private placements, business reorganizations, corporate governance, mergers and acquisitions,joint-ventures, and private workouts. Mr. Field’s practice serves founder, family-owned, and entrepreneur based businesses to venture capital firms, multi-national corporations and non-profits. He also advises on legal matters concerning business operations, including Tennessee F&E tax, distribution water-falls, ESOP, corporate governance and shareholder arrangements, entity structure and formation, and general legal compliance on specific matters that arise from time to time. 

Prior to joining our Thompson Burton team, Mr. Field served as Corporate Counsel for a leading commercial space company with on-orbit facilities, an experimental habitat with NASA attached to the ISS named the B.E.A.M project,and as the principal joint-venture partner on the Boeing Starliner(CST-100).  His experience with government contracting provides a wealth of knowledge and creative solutions in the often-overlooked governmental agency regulation of private contracting. During his aerospace tenure, Mr. Field obtained TS/SCI clearance and maintained the company’s SCIF. Mr. Field's government background extends to law school where he interned with the Department of Justice and was assigned to GSA contract procurement. 

Additional corporate in-house experience includes serving as the Vice President of Legal Affairs for a merchant developer of CRE, high-rise office and mixed-use projects with over $1.5 billion under development in Las Vegas, NV.Mr. Field is seasoned at turning dirt into entitlements, construction, leasing,and sales. In 2009, he was part of a team resolving $500,000,000 in distressed loans in the context of bankruptcy and private workouts.
